Alan N. MacGibbon

Board Chair, TD Bank Group

Effective February 1, 2024, Alan N. MacGibbon was appointed the Chair of the Board at TD Bank Group. An independent member of the Board, the role of the Board Chair includes effectively managing the affairs of the Board, facilitating the functioning of the Board independently of management, maintaining and enhancing the quality of the bank’s corporate governance, and executing on the Board's responsibilities to shareholders. His key responsibilities are set out in the Charter of the Board Chair which is available on our website. Mr. MacGibbon has served as an independent Director of TDBG since 2014. He also serves as Chair of the Corporate Governance Committee, a member of the Human Resources Committee and as a Director and Chair of the Audit Committee
of the Bank's US subsidiary, TD Bank US Holding Company.

Mr. MacGibbon spent his professional career with Deloitte LLP and served as Managing Partner and Chief Executive of Deloitte LLP (Canada) from 2004 to 2012. In this role, he was responsible for leading and managing the largest Canadian professional services firm. Mr. MacGibbon also served as a member of the Canadian firm's Board of Directors and a member of the Executive and the Board of Directors of Deloitte’s global network, Deloitte Touche Tohmatsu Limited (DTTL). In June 2011, Mr. MacGibbon also assumed the role of Global Managing Director, Quality, Strategy and Communications for DTTL. Mr. MacGibbon retired from Deloitte on January 1, 2014. Mr. MacGibbon is also Chair of the Board of Directors of CAE Inc.

Mr. MacGibbon is a Chartered Professional Accountant and Chartered Accountant and was recognized as a Fellow by the Ontario Institute of Chartered Professional Accountants in 2006. He holds a Bachelor of Business Administration and an Honorary Doctorate from the University of New Brunswick.
